Field work started at Nucleon in the Athabasca Basin of northern Saskatchewan on April 14, 2026, and the company that announced it was still called Vanguard Mining Corp. Thirteen days later it was Uranium One Mining Corp., renamed and consolidated, and by the end of June it had completed one acquisition, raised C$3.0 million and signed for two more properties.

Those ten weeks were the busiest in the company's recent history. The Quark Uranium Ltd. acquisition completed on April 22, 2026. A private placement closed on May 27, 2026 at C$3,008,401, twice the amount first announced. A share exchange agreement effective June 19, 2026, announced June 26, covers the Foghorn and Pasfield Lake properties. The interim financial statements for the six months ended June 30, 2026, filed on SEDAR+ on August 31, 2026, show what that spring produced: cash of C$2,868,144, total liabilities of C$244,593 and working capital of C$3,517,148.

The ground, property by property

Uranium One's uranium portfolio has three properties it owns and two it has agreed to buy. None carries a mineral resource estimate. The ground sits in a basin known for high-grade deposits, and a work programme is running at one property.

Nucleon is the property with a programme running. Uranium One acquired Nucleon Uranium Ltd. on November 14, 2025, for shares and C$200,000, and the interim statements carry it at C$1,517,960. It holds seven claims totalling 23,424.90 hectares in four exploration areas, which the April 14, 2026 release places in the corridor that hosts the Patterson Lake South and Arrow deposits, north of the Patterson Lake South ground and about five kilometres north of claims held by Orano.

The company states it found no records of recent systematic modern exploration on the claims, which is the point of the programme: Phase 1 is lake-sediment geochemistry run by Hardline Exploration Ltd. as a winter sampling programme, with ground geophysics and radiometric surveys named as the possible follow-up, and permitting, before any drill testing. The company capitalised C$40,877 of exploration spending at Nucleon in the six months to June 30, 2026. As at October 16, 2026 it had not published results from the Phase 1 sampling.

Quark Uranium was announced as a proposed acquisition on April 10, 2026 and completed on April 22, 2026, per Note 3 to the interim statements: eight claims totalling about 28,746 hectares in the Athabasca Basin region of Saskatchewan, bought for 2,285,714 post-consolidation shares with a fair value of C$1,080,000 plus C$200,001 in cash. Quark Uranium Ltd. is now a wholly owned subsidiary, and the property is carried at C$1,289,817.

Yuty Prometeo predates the name change. The company holds an 85 per cent interest in Paraguay Uranium S.A., whose four concessions cover about 90,000 hectares of the Paraná Basin in Paraguay, a region the company describes as prospective for uranium. The prospecting permit was received in November 2025, and C$117,799 of exploration spending was capitalised there in the first half of 2026.

The Athabasca Basin's reputation rests on unconformity-related deposits, in which uranium is concentrated where the basin's sandstone meets the older basement rock beneath it, the style of the Cigar Lake and McArthur River mines.

Foghorn and Pasfield Lake: the terms, the rationale and where it stands

The June agreement is the largest transaction the company has announced this year, and the company is paying for it almost entirely in shares.

Under the share exchange agreement, Uranium One would acquire all the shares of 1583644 B.C. Ltd., a private company that is to hold the two properties, for 27,060,000 Uranium One shares. The interim statements put the deemed consideration at about C$9,500,000, which works out at about C$0.35 a share. The cash component, C$250,000 due to the Foghorn vendor, was advanced by Uranium One before June 30, 2026 on the private company's behalf, and it sits on the June 30 balance sheet as a deferred acquisition cost, with legal fees, of C$265,659. No finder's fees are payable.

The rationale, in the company's words, is exposure to two prospective exploration districts. Pasfield Lake, in northeastern Saskatchewan, is a prospecting permit over about 4,400 hectares, roughly 100 kilometres northwest of the Collins Bay mining area and 60 kilometres northwest of the Cigar Lake mine, which the company describes as prospective for unconformity-related uranium mineralisation and where it says modern exploration has been relatively limited. It carries an existing 2 per cent royalty held by Canterra Minerals Corporation, with a buydown to 1 per cent for C$1,000,000.

Foghorn, in British Columbia, is about 40 Crown-granted claims covering roughly 614 hectares, a polymetallic project with exploration history to the early 1900s and, in the company's description, multiple styles of mineralisation, targeting uranium, fluorite and other critical minerals. A 3 per cent net smelter returns royalty sits on it, of which up to 1.5 per cent can be bought back for a maximum of C$1,500,000. A net smelter returns royalty is a share of revenue from metal sold, paid before costs. The company states that the historical information it cites for both properties has not been independently verified.

The agreement had not closed as at June 30, 2026. Note 20 to the interim statements describes it as a proposed transaction, the subsequent-events note of statements approved on August 31, 2026 records no closing, and as at October 16, 2026 neither the company's newsroom nor its SEDAR+ filings carried a closing announcement. Completion depends on approvals, among them regulatory and third-party consents and that of the Canadian Securities Exchange.

Against 40,251,352 shares outstanding at June 30, 2026, issuing 27,060,000 would leave the vendors with about 40 per cent of an enlarged company of 67,311,352 shares. Paying for ground in shares is the normal currency of a venture issuer, and the price here is published.

C$3.0 million, twice the first ask

The company announced a non-brokered private placement of up to C$1,500,000 on April 30, 2026, raised the ceiling to C$2,000,000 the next day, and the closing release of May 27, 2026 reported the final size at C$3,008,401, twice the amount first announced. It sold 4,911,333 units at C$0.30 for C$1,473,400 and 5,116,669 flow-through units at the same price for C$1,535,000. Every unit carries a warrant exercisable at C$0.50 for twelve months, and the company may accelerate the expiry if the shares close at or above C$0.75 for five consecutive trading days.

The stated uses tie the money to the ground, with net proceeds from the ordinary units going to exploration and drilling programmes, to property payments and to general working capital, and net proceeds from the flow-through units to Canadian exploration expenses. The management's discussion and analysis for the period reports the proceeds as being used as disclosed, with no variation.

A flow-through share is a tax instrument under which the issuer passes its Canadian exploration deductions to the subscriber, who pays for that benefit, and the money can only be spent on qualifying exploration. Two dates attach to it.

The May 27, 2026 release commits the company to renounce the deductions to subscribers with an effective date no later than December 31, 2026, which is the renunciation date. The spending deadline is set by the Income Tax Act's look-back rule, under which expenditures renounced effective December 31, 2026 may be incurred through the end of 2027, with a monthly federal tax accruing on any amount still unspent from February 2027. The release does not state a spending date; the interim statements put the outstanding commitment at about C$1,546,249 of qualifying expenditures as at June 30, 2026, a figure that includes a small balance carried from an earlier flow-through financing.

Insiders subscribed, which made the placement a related-party transaction under MI 61-101; the company relied on the exemptions from formal valuation and minority approval available because insider participation stayed below a quarter of its market capitalisation. Finder's fees of C$211,472.06 in cash and finder's warrants were paid, and the four-month hold on the placement shares expired September 28, 2026. Earlier in the half, after the company accelerated three warrant expiries, holders exercised 4,821,450 warrants for C$2,600,365, per the interim statements.

The June 30 balance sheet

The interim statements, approved by the board on August 31, 2026, are the first to show the company after its turn to uranium. Set beside the December 31, 2025 comparative column in the same statements, they show where the spring's money went.

The company has no debt beyond C$16,205 of non-interest-bearing loans; the loans from its chief executive were repaid in March 2026, and the amounts owed to officers and directors at the year end have been cleared.

Net cash used in operations was C$2,551,035, and the net loss of C$2,803,317 included C$967,500 of non-cash share-based compensation. Market awareness, at C$814,111, was the largest cash expense line, which the MD&A attributes to digital marketing and investor outreach. As is standard for an explorer without revenue, the statements carry a going-concern note stating that continuing depends on raising further money. The cash figure is the one to carry forward, and C$2,868,144 at June 30 is the most recent filed.

There were 40,251,352 shares outstanding at June 30, 2026 and the same number at the August 31, 2026 date of the MD&A, after the April 27, 2026 consolidation on a 3.5-to-1 basis, which restated every count in the statements. Warrants outstanding were 10,697,261, of which 10,028,002 are the placement warrants at C$0.50 expiring May 27, 2027, and 85,713 restricted share units remained. After the consolidation, a holder of 35 old shares held 10 new ones, and the same proportion of the business.

Uranium One closed at C$0.20 on the Canadian Securities Exchange on October 16, 2026, down C$0.01 on the session, on 82,979 shares against a 74,607-share 30-day average, per 15-minute delayed market data read after the close at about 14:00 Pacific time. At that price and the filed count of 40,251,352 shares, the market value of the company works out at about C$8.05 million. The 52-week range on the same market data is C$0.16 to C$2.31.

The earlier properties

The company's pre-uranium properties are set out in the same filings. On May 6, 2026, after a review by the British Columbia Securities Commission, the company clarified statements in three earlier releases on its Pocitos 1 lithium, Brussels Creek gold-copper and Redonda copper properties and filed amended and restated technical reports on July 20, 2026. Two of the three have since been resolved as assets: Redonda was sold to Copper One Resources Corp. on May 6, 2026 for C$1,100,000, and the tax claim attached to the Pocitos 1 property in Argentina was settled in April 2026 for US$175,000, closing the matter. Brussels Creek remains in the portfolio.

What the next filings will show

Uranium One started the year with lithium, gold-copper and copper properties, a uranium interest in Paraguay and one newly bought Athabasca property. It ends the third quarter as a uranium company with three uranium properties, a funded programme in the Athabasca Basin, C$3.0 million raised in the spring and a signed agreement for two more properties at a published price.

The interim statements to September 30, 2026 are due by November 29, 2026 and will carry the first balance after the summer's spending. The notice filed September 21, 2026 calls an annual general and special meeting for November 30, 2026, with a record date of October 16, 2026; the circular setting out the special business had not been filed as at October 16. The placement warrants at C$0.50 run to May 27, 2027, and the flow-through renunciation falls due December 31, 2026. The Foghorn and Pasfield Lake closing waits on exchange approval, and the Phase 1 results from Nucleon have no announced date.

The first exploration evidence from the ground assembled this spring will be the Phase 1 sampling results from Nucleon, and the next filed balance, at September 30, 2026, is due by November 29, 2026.
