Reading Insider Transaction Filings the Right Way
Insider buying and selling both happen for reasons unrelated to a view on the share price.

Canadian insider trading reports are filed publicly on the System for Electronic Disclosure by Insiders, and they are among the most misinterpreted disclosures available to retail investors. The raw data is accessible to anyone, which is exactly the problem: a list of transactions without context invites the reader to treat every sale as bearish and every purchase as bullish, when the reality is that most insider activity carries no signal at all. The value in these filings comes from knowing which transactions to discard and which narrow category is actually worth attention.
Sales are usually noise
Executives and directors sell shares for reasons that have nothing to do with a view on where the stock is headed. Diversification away from a concentrated position is a rational decision for anyone whose net worth and salary are both tied to one company. Tax obligations triggered by vesting restricted share units or exercised options routinely force a sale simply to cover the tax bill, with no discretion involved. Many senior executives also sell under automatic trading plans set up months in advance, which execute on a fixed schedule regardless of what the executive currently believes about the company's prospects. A single large insider sale, viewed in isolation, tells the reader almost nothing about management's outlook, and treating it as a red flag is one of the more common misreadings of this dataset.
Purchases are more informative — but not automatically
Open-market purchases made with personal, after-tax capital are a different category, because they carry a real cost to the insider with no offsetting benefit beyond a bet on the share price. That is what makes a purchase, unlike a sale, at least a costly signal rather than a free one. The signal strengthens when the buyer already holds a substantial position and is adding to it rather than initiating a token stake, and it strengthens further when several insiders buy independently within a short window — cluster buying is more informative than any single filing because it reduces the odds that the purchase reflects one person's idiosyncratic view or personal financial planning rather than a shared read on the business. Even so, a purchase from an insider with a small stake, or one sized to be immaterial relative to that person's net worth, should not be read as a strong signal on its own.
Read the transaction code, not just the headline
Every SEDI filing specifies how the shares were acquired or disposed of: an open-market purchase, an option exercise, an award under an employee equity plan, a gift, or an exempt transaction such as one linked to an estate or a related-party transfer. Data aggregators and financial media frequently collapse all acquisitions into a single "insider buy" headline, which erases exactly the distinction that carries the information. An option exercise followed immediately by a sale of the underlying shares, for instance, nets out to no net change in the insider's economic exposure and should not be reported alongside a genuine open-market purchase as though the two were equivalent. Reading the actual transaction code in the filing, rather than relying on a secondary summary, is the difference between seeing a real signal and seeing a data-processing artifact.
Timing and the reporting lag
Insiders in Canada are required to report transactions within a set number of days, which means the filing an investor sees may already be somewhat stale relative to when the trade occurred. This matters less for the slow-moving, diversification-driven sales that make up the bulk of the dataset, and more for the rarer cluster-buying episodes, where the informational value is partly time-sensitive. A pattern of purchases that emerges over several filings in a short window is still meaningful even with a modest lag; a single old filing carries less weight than a recent one.
Putting the filing in context
Insider transaction data is most useful as a supplement to fundamental analysis, not a substitute for it. A cluster of open-market purchases by multiple senior insiders ahead of a company's own material disclosures is worth flagging as a data point to monitor, particularly alongside other evidence such as guidance changes or sector-wide trends. It is not, on its own, a reason to act, and the much larger volume of routine, plan-driven, or tax-driven sales that dominates the SEDI feed should be filtered out before any pattern is drawn from the remaining data.
What to watch
Look for open-market purchases specifically, as distinct from option exercises or plan-based acquisitions, and note whether the buyer already holds a large position or is initiating one. Watch for clusters of purchases by multiple insiders within a short window rather than isolated transactions, check the transaction code in the filing itself rather than a secondary summary, and track whether purchases precede or follow the company's own scheduled disclosures.
