Two Years In, F4 Uranium Has 17 Projects and a Partner-Paid Drill Program, and Wales Lake Still Owes a Grade

Created by court order in August 2024, the company has staked ground, had Murphy Lake drilled at no cost to itself and financed twice without a discounted common raise, while the four holes drilled on Wales Lake to date have yet to return more than 21 parts per million uranium.

F4 Uranium was carved out of F3 Uranium by court-approved arrangement in August 2024. It now reports 17 Athabasca Basin projects, has had a 4,092 metre drill program at Murphy Lake paid for entirely by an option partner, and has raised C$1.0 million in flow-through money without a discounted common raise. The Wales Lake holes drilled to date have returned no better than 21 parts per million uranium, the 2025 core assays are unreported, and the September 2, 2026 survey mapped two conductor trends without dimensions. The company-building is real; the uranium is still to be shown.

F4 Uranium Corp. did not exist before August 2024. Since a court order created it two years ago, the company has assembled a portfolio of Athabasca Basin uranium projects, had a drill program run on its ground at a partner's expense, and financed exploration twice without selling discounted common shares. The count the company reports is 17 projects and 4,092 metres. That is real corporate work, and so far the whole of it: nothing F4 Uranium Corp. (TSXV: FFU) has published reports a Wales Lake uranium result better than 21 parts per million.

The headline on the company's September 2, 2026 Wales Lake release used the word targeting, not discovery, and the distance between the two is where this company sits.

A court order made the company, and its own presentation makes the case for its people

Under a final order of the Supreme Court of British Columbia dated August 13, 2024, each holder of F3 Uranium Corp. (TSXV: FUU) received one new F3 common share plus one-tenth of an F4 share, and the arrangement took effect at 12:01 a.m. Vancouver time on August 15, 2024. (F4 Uranium, August 16, 2024) A plan of arrangement is a court-approved corporate reorganisation under provincial law, voted on by shareholders; here it spun F4 out to F3's shareholders. That is the whole legal relationship between the two companies; the shared management is a separate matter.

The people are the company's principal marketing asset, and it discloses them openly: Dev Randhawa as chairman, Ray Ashley as chief executive, Sam Hartmann as president and chief operating officer, Erik Sehn as vice-president exploration. One of those titles needs a date beside it. Mr. Hartmann resigned as vice-president exploration of the sister company, F3 Uranium, with September 1, 2026 as his last day, per F3's release of September 3, 2026. F4's own team page and its June 18, 2026 presentation still name him president and chief operating officer, and as of September 11, 2026 F4 had published nothing about his role.

The corporate presentation dated June 18, 2026 states that management was "responsible for 4 major uranium discoveries in the Athabasca Basin", naming the J Zone, Triple R, JR Zone and Tetra discoveries between 2010 and 2025. It is a claim about people, not technical disclosure about ground.

The survey measures electricity in the ground, not uranium

Nearly everything F4 announces turns on one word, conductor.

Rocks let electricity pass at very different rates. Most of the sandstone and granite in the Athabasca Basin resists a current strongly. A few materials do not: graphite, certain clays, sulphide minerals, and water sitting in a crack. An aircraft towing the right instrument can fly a grid over a property and measure how easily the ground conducts. Where conduction is easy, geophysicists record a resistivity low; when those lows line up into long, narrow features, they call them conductors.

What matters is what sits inside one. In this part of Saskatchewan the graphite that makes a conductor tends to lie inside ancient faults, the plumbing that uranium-bearing fluids once travelled through. Uranium deposits in the Athabasca Basin are found beside conductors far more often than chance would allow.

The instrument measures electricity. It does not measure uranium, and it cannot. A conductor is an address, not a tenant: finding one narrows a very large property to a few places worth drilling, which is genuinely valuable, and says nothing about whether anyone is home.

Read that way, the September 2 release is a survey result, no more. F4 flew roughly 700 line-kilometres of airborne Mobile MagnetoTellurics, a survey of this kind, over the western portion of its 100 per cent owned Wales Lake project. The survey "highlighted two distinct north-northwest to south-southeast resistivity-low trends that were not clearly defined by the VTEM survey completed in the summer of 2025", VTEM being a different airborne electromagnetic system, flown the previous summer. A feature in the northeast "may represent a continuation of one of the trends identified at Todd Lake". (Newsfile, September 2, 2026)

Erik Sehn, P.Geo., described the Wales Lake pattern as "more complex" than the trends at Todd Lake and called the work "an important step in narrowing a very large and underexplored land package". No strike length, width, depth or conductance is given for either trend, and neither trend is named. The release claims geometry, and geometry is what it delivered.

Four holes into 40,113 hectares: graphite in 2025, no uranium yet

Four holes have been drilled on a project the company describes as 40,113 hectares; the two most recent intersected graphitic conductive zones.

Two holes were drilled in 2018. WL18-001 returned 21 ppm uranium over 0.5 metres; ppm is parts per million, and 21 of them is a trace, not a grade. WL18-002 intersected anomalous radioactivity with elevated thorium, 446 ppm over 170.0 to 170.5 metres; thorium is a different element, and that hole is not a uranium result.

Two more holes were drilled in 2025: WL25-003 to 368 metres and WL25-004 to 287 metres, 655 metres in total. WL25-003 intersected three graphitic conductive zones between 116.9 and 320.5 metres, described as disseminated graphite and sulphides with calcite and hematite alteration. The release states that 97 drill core samples were collected for the project database, and it reports no uranium mineralisation. (Newsfile, August 5, 2025)

No release since has reported the geochemistry from those 97 samples. The company's presentation states that only 3 of 150 VTEM conductors at Wales Lake have been tested. The property has no mineral resource estimate and no NI 43-101 technical report. A resource estimate is the first formal estimate of how much mineralised rock a property holds and at what grade; an NI 43-101 report is the technical report, signed by a qualified person, that Canadian securities rules require behind a first resource estimate. Neither is expected this early.

Murphy Lake is where the encouraging results are, and a partner paid for every metre

Murphy Lake is the second year's achievement, and it cost F4 no capital. UraniumX Discovery Corp. is earning up to a 70 per cent interest by spending C$10 million, with F4 as operator; under an earn-in the partner funds the exploration and earns its interest only by meeting the agreed spending thresholds. The 2026 summer program was planned at 2,500 metres and finished at 4,092 metres across nine holes, a 64 per cent expansion, all of it funded by the partner.

These are the encouraging results on the record. Five of the six target areas tested returned anomalous radioactivity. Pitchblende, a uranium oxide mineral, was visually identified in hole ML26-015. Hole ML26-023 recorded a peak downhole gamma reading of 2,696.9 counts per second, with readings above 500 counts per second over 3.2 metres across two intervals, from 286.1 to 287.7 metres and from 290.6 to 292.2 metres. The property sits 5 kilometres south of IsoEnergy's Hurricane deposit, and a 2022 hole, ML22-006, returned 0.065 per cent U₃O₈ over 2.5 metres including 0.242 per cent over 0.5 metres. The release carries the right caution: spectrometer readings "are preliminary in nature, are not directly or consistently correlated to uranium grades determined by chemical assay, and should not be relied upon as a substitute for analytical results". A count per second measures radioactivity at the wall of the drill hole. An assay measures uranium in a laboratory. The first is a reason to send the core away; only the second is a grade, and as of September 11, 2026 the company had released no assays from these nine holes.

A junior that gets a 4,092 metre program drilled on its ground without spending its own money has done the hardest thing a C$10 million explorer can do. That is a statement about corporate execution, not about a deposit.

What the company has handled, and two problems it created for itself

F4 confirmed the Hearty Bay termination promptly; its paperwork has not always been clean. A qualified person is a registered geologist or engineer with at least five years of relevant experience who takes responsibility for a release's technical statements.

A July 9, 2026 release describes 16 projects and about 157,000 hectares; the August 19, 2026 release, 17 projects and about 124,000 hectares; the June 2026 presentation, 17 projects and 157,530 hectares; the website's project index, 15 projects and 155,010 hectares. The 4,835 hectare Kelic Lake staking explains the count moving from 16 to 17, although the June presentation already said 17 before Kelic Lake was staked, so even the count is not clean. The staking does not explain the hectares falling by roughly a fifth and then returning, and none of those four documents reconciles the figures.

The second is a paid marketing engagement, disclosed on March 31, 2026: C$150,000 plus applicable taxes to Connect 4 Marketing Ltd. for an initial two months of "comprehensive digital marketing services including content creation (videos ad creatives, landing pages), influencer management, newsletter coordination, and targeted advertising campaigns", subject to TSX Venture approval; the company states the provider holds no equity interest and is at arm's length. (Newsfile, March 31, 2026) Set against a C$1.0 million financing three months later, that is a large promotional budget relative to the treasury; anyone who met this name through a newsletter or a video met it through a paid channel.

Financed twice without a discounted common raise, and the last published cash figure is from April

F4 has paid for exploration once through a partner and once through flow-through shares, and in neither case through a discounted common-share raise.

The financing closed on July 9, 2026: 6,728,000 flow-through units at C$0.15 for gross proceeds of C$1,009,200, each unit carrying half a warrant, with a whole warrant exercisable at C$0.22 until July 9, 2028. A flow-through share lets a Canadian company pass its exploration tax deductions to the subscriber, who therefore pays a premium to the market price; the premium is the tax benefit, not a view on value, and the money is legally restricted to exploration in Canada.

Red Cloud Securities Inc. acted as sole agent for a cash commission of C$56,650.50 and 377,670 broker warrants. One insider subscribed for 667,000 flow-through units, about 9.9 per cent of the offering, a related-party transaction relying on exemptions from formal valuation and minority approval under MI 61-101, the rule that protects minority shareholders in transactions with insiders by normally requiring a formal valuation and a minority vote. Proceeds are earmarked for Canadian exploration expenses to be incurred by December 31, 2027. (Newsfile, July 9, 2026)

The company's last published cash figure is C$1,240,817 as at April 23, 2026, on 81,831,470 shares outstanding and 92,493,229 fully diluted, in the presentation dated June 18, 2026; SEDAR+ was not readable when this was written, so the current balance sheet is not verified against the interim statements filed since April. Secondary market data carried cash of about C$2.87 million and liabilities of about C$2.01 million as at September 11, 2026; those figures are unreconciled against the company's filings and should not be relied on.

Market data read after the close on September 11, 2026 showed the shares at C$0.12, unchanged on the day, on 22,038 shares against a recent average of roughly 40,550, with about 89.5 million shares outstanding and a market value near C$10.7 million. These are 15-minute delayed secondary figures, not verified against SEDAR+.

Frankfurt lists the shares, and the company does not list Frankfurt

F4 Uranium trades in Frankfurt under the symbol B25, WKN A40K3L, ISIN CA30336V1031, per the exchange's equity page, and the same ISIN appears in the company's wire distribution. (Deutsche Börse) The WKN is Germany's securities number, the ISIN the international one.

The exchange page showed no last price and no change on the day when checked on September 11, 2026, and the company's releases and stock information page name only the TSX Venture and OTCQB listings. The German line is real, and it is not where this security trades.

Two years of company-building; finding out whether there is a deposit is the third year's job

My assessment of the execution is favourable, and more favourable than the share price. Two years of staking, partner-funded drilling and financing without a discounted common raise is genuine corporate work, and also the full list: the best uranium number from the four holes drilled on Wales Lake to date is 21 ppm, the 2025 core assays are unreported, the September 2 survey defined geometry without dimensions, and the encouraging results are at Murphy Lake, where F4 stands to hold 30 per cent if its partner completes the earn-in.

The developments that would change this, heaviest first: chemical assays from the 2026 Murphy Lake holes, in either direction; the geochemistry from the 97 Wales Lake samples collected in 2025, still unreported more than a year later; a named Wales Lake conductor with a strike length, a depth and a drill plan, which would turn the survey from geometry into a target; a single reconciled statement of projects and hectares; a filed balance sheet that settles the cash question; and any disclosure of further paid promotion.

Wales Lake now has two mapped trends and no drill target with a number on it. F4's third year has to prove there is something under the addresses it has collected.
