Rock Tech Lithium Rose 34% on a Report Naming Rheinmetall as an Investor

The company's own release describes a C$3.25 million subscription by a strategic investor it did not identify and a Guben project-level stake it expects to sign, two days after it put the Red Rock converter's capital cost at C$596 million.

Rock Tech Lithium (TSXV: RCK) closed at C$0.79 on October 16, 2026, up 33.9 per cent, after a news report named Rheinmetall AG as an investor in the company and its permitted lithium converter at Guben. Rock Tech's October 9 release describes a C$3.25 million subscription by an unnamed strategic investor and a project-level participation it expects to enter. Behind the report sit two converters, a Red Rock capital cost of C$596 million published October 7, a June 30, 2026 balance sheet with C$1,968,455 of cash, and a final feasibility study due in December 2026.

Rock Tech Lithium's shares rose 33.9 per cent on the TSX Venture Exchange on October 16, 2026, after a news report named the German defence group Rheinmetall AG as an investor in the company and in its lithium converter at Guben. Rock Tech's own account, in its release of October 9, 2026, is a C$3.25 million subscription by a strategic investor the company did not name.

The close was C$0.79 on about 3.09 million shares, roughly 83 times the thirty-day average, per TSX Venture end-of-day data, the last trade printed at 15:59 Eastern on October 16, 2026 and confirmed the following morning; a 15-minute delayed feed read at about two in the afternoon Pacific had shown C$0.77.

Two converters, and a mine meant to feed one of them

Rock Tech is a development-stage company with no revenue. Its management's discussion and analysis dated August 31, 2026 says it will "use proven and tested production processes in its Converters to ensure quick time to market and mitigate project execution risk". A converter takes spodumene concentrate, the lithium-bearing product of a hard-rock mine, and turns it into battery-grade lithium hydroxide, a cathode chemical for lithium-ion batteries.

The first converter is at Guben in Brandenburg, designed for 24,000 tonnes a year of lithium hydroxide. It holds both partial permits from the Brandenburg State Office for the Environment, the second of which, granted May 17, 2024, includes the operating licence. The MD&A says the plant has been selected as a Strategic Project under the EU Critical Raw Materials Act. The second converter is planned for Red Rock, Ontario, 110 kilometres northeast of Thunder Bay, where a definitive feasibility study began in June 2026.

The mine is Georgia Lake, a wholly owned spodumene project in the Thunder Bay Mining District with a pre-feasibility study dated November 17, 2022. On July 24, 2026 the company signed a binding long-term offtake agreement with Transamine SA for Georgia Lake concentrate, with deliveries from 2028 over an initial seven-year term. The statements describe that agreement as providing "a framework for a potential development prepayment facility of up to US$80 million, subject to definitive documentation and customary conditions".

Siemens Canada signed a memorandum of understanding in March 2026 to carry the Guben process design to Red Rock, followed on September 22, 2026 by agreements for a digital twin of the Ontario plant. Mercedes-Benz holds a volume commitment agreement dated October 18, 2022 for an average of 10,000 tonnes a year of lithium hydroxide from Guben over five years. The MD&A says the company "is currently in discussions with Mercedes-Benz regarding renegotiating some terms of the agreement".

The shares trade primarily on the TSX Venture Exchange as RCK. Since June 12, 2026 they have also traded on Xetra under RCK, with the Frankfurt open-market symbol RJIB. The WKN is A1XF0V and the ISIN CA77273P2017, per the company's release of June 12, 2026, and Börse Stuttgart's listing page read on October 16, 2026.

What a German industrial partner would change at Guben

Guben is permitted, and its construction is not yet financed. The MD&A names the groups it is courting: "project finance banks with support of export credit agencies and/or federal guarantees, private debt funds, institutional investors, and strategic investors within the battery, energy and automotive industry". The same section cites letters of support from the European Investment Bank and two export credit agencies, UKEF and Finnvera, for the plant's debt financing. Its milestone table makes project financing follow a second offtake agreement.

A strategic equity participation at the project level means the partner buys a share of the plant company rather than of the listed parent. Its money counts toward the equity a lender wants in place before committing construction debt. A partner with its own demand for lithium chemicals can also be the second offtaker the milestone table waits on. Which role the Guben investor takes depends on terms that are not yet public.

On August 21, 2026 the company said that "more than 60%" of the offering, C$3,250,000, "was subscribed by a new strategic investor" that "is concurrently entering into a strategic equity participation at the project level in the Company's fully permitted Guben lithium hydroxide converter", with "further details of the Guben transaction" to be "announced separately after final close of the transaction". On October 9, 2026 the company said it "expects to enter into a strategic equity participation at the project level".

The name came from elsewhere. Investing.com, citing Bloomberg, reported on October 16, 2026 that Rheinmetall had acquired a stake in Rock Tech and its German converter and had been an investor in the October capital raise. The report gave no amount and no rationale and carried no comment from either company. Rheinmetall describes itself as a "comprehensive systems provider for the armed forces". Its release of March 11, 2026 reported group sales of €9,935 million for 2025. As at the close on October 16, 2026, neither Rock Tech nor Rheinmetall had published anything identifying the investor.

The C$3.25 million bought 5,000,000 units at C$0.65, about 3.9 per cent of the enlarged company, and the participation at Guben is where an industrial partner would matter. The nearest its own documents come to the defence theme is BMI Group's chief executive, quoted in the April 8, 2026 release positioning Red Rock as a hub for defence and battery materials supply chains.

Red Rock's preliminary cost estimate is half the 2024 figure, for a larger plant

Two days before the placement closed, Rock Tech published preliminary results from the Red Rock definitive feasibility study, for a plant of about 30,000 tonnes a year of lithium salts. A definitive feasibility study is the engineering document a lender reads before committing construction debt.

The release of October 7, 2026 put total capital cost at C$596 million with a tolerance of plus or minus 20 per cent, a range of about C$477 million to C$715 million. China CEC Engineering Corporation, a lithium-plant engineering contractor, is doing the study with Canadian partners.

The 2024 scoping study, per the MD&A, assumed total project capital of about C$1.21 billion for a plant of about 24,000 tonnes a year, on a Class 5 estimate. The new figure is about half of that, for a stated capacity of about 30,000 tonnes a year of lithium salts against the 2024 study's roughly 24,000 tonnes a year of lithium hydroxide, and the release attributes it to "a further optimized, industry-proven converter design". Chief executive Mirco Wojnarowicz said the results "underline that the Red Rock Converter can be built at a highly competitive capital cost – a level not yet achieved within the Western lithium supply chain".

The release also says the preliminary results "remain subject to the Final DFS Results" and further validation by CEC, and it gives no operating cost. The final study, due in December 2026, is to carry operating costs, the project economics and the financing structure. Construction is expected to begin in the second half of 2027, subject to those results and to project approvals.

Permitting is the distinction that matters most. Guben has a decision from the authorities that the plant may be built as designed, on that site, on the conditions they set. Red Rock has a cost estimate, and its permitting has begun with pre-consultation.

Four kinds of money, and where each stood at June 30

Cash on hand comes from the condensed interim financial statements for the six months ended June 30, 2026, filed on SEDAR+ on August 31, 2026. They show cash of C$1,968,455 at June 30, 2026, against C$2,660,049 at December 31, 2025. Total liabilities were C$3,330,683 at June 30, 2026, and working capital was C$60,731 at that date.

Net cash used in operating activities in the six months to June 30, 2026 was C$4,743,755, about C$790,000 a month. Note 13 of the statements carries the going-concern language: the company's "continuation as a going concern is dependent upon the successful results of its mineral property exploration and development activities and its ability to raise additional capital to meet its current and future obligations". Beside it sits management's view that "current cash resources are sufficient to fund its planned operations and meet its obligations in the near term". The MD&A adds that "further fundraising will be necessary in the course of 2026".

Cash raised is the placement. Three tranches, the first closed on August 21, 2026 and the last on October 9, 2026, issued 9,219,301 units at C$0.65 for gross proceeds of about C$6.0 million, less finders' commissions of C$161,702.70. At the first half's rate of operating cash use, the gross sum covers about seven and a half months. The proceeds are earmarked for the Georgia Lake feasibility study, Red Rock development and working capital.

Committed financing for construction does not exist at either plant. Contemplated financing does, and the company's own documents give the status of each piece. BMI Group "intends to invest" C$200 million in Red Rock through a partnership "expected to be structured as a general partner / limited partner arrangement" that "remains subject to the negotiation of definitive agreements", per the April 8, 2026 release, which also described "a non-dilutionary funding program" of up to C$30 million toward a final investment decision.

None of that is cash received. The April release targeted a final investment decision by the end of 2026. The October 7 release puts construction in the second half of 2027. The Transamine prepayment is a framework subject to documentation.

The dilution figures below use the filed count.

Quote-feed count (market data, cross-check only)about 137.5 million, 15-minute delayed feed read October 16, 2026

On the enlarged filed count the placement's 9,219,301 shares are about 7.1 per cent of the company. The quote-feed count is market data only; the desk could not reconcile its roughly 8 million-share gap to the filed count from the documents on file, which is why the arithmetic uses the filing.

At the close of C$0.79 on October 16, 2026, the only instruments with an exercise price below the share price are the 251,771 finders' warrants at C$0.65. Multiplied by the enlarged count, that close values the company at about C$102.2 million, roughly a sixth of the Red Rock capital estimate, a sum the company does not propose to fund from its own market value: its contemplated financing for Red Rock is the BMI Group partnership described above, which remains subject to definitive agreements.

Lithium at US$17,875 a tonne, against a study that assumed US$30,712

Benchmark Mineral Intelligence's third-quarter review, published October 2, 2026, put ex-works China lithium hydroxide at US$17,875 a tonne at the end of September 2026, down 19.2 per cent over the quarter. The 2024 Red Rock scoping study, per the MD&A, assumed a life-of-project average price of about US$30,712 a tonne for battery-grade lithium hydroxide. The Chinese spot price is about 58 per cent of that assumption.

The comparison has two limits. A spot price in one quarter is set against a long-run average in a Class 5 study, and a plant selling in Ontario or Brandenburg would price off different indices. The preliminary DFS results carry no price assumption. The MD&A says prices "rebounded strongly in late 2025 and continuing into 2026", and it plans to link product prices to indices, with floors and ceilings on some volumes.

The operating comparable in Germany is AMG Lithium's refinery at Bitterfeld-Wolfen in Saxony-Anhalt, opened on September 18, 2024 as a first module of 20,000 tonnes a year of battery-grade lithium hydroxide. AMG put its own investment in the plant at about €140 million, as reported at the opening. The basis of the comparison is scale and stage, a plant of similar size that is operating set against one that is permitted and unbuilt. The limit is that the two flowsheets and scopes differ, and AMG's cost is its own estimate for its own design. Rock Tech's MD&A states the novelty in its own words: "to the Company's knowledge, the processing of spodumene concentrate into lithium hydroxide has not been previously undertaken on a commercial scale in Europe".

The dates on the calendar

For Red Rock, the release of October 7, 2026 sets the dates: final study in December 2026, construction from the second half of 2027 if the study and the approvals allow. Definitive agreements with BMI Group have no date.

For Guben, the updated engineering study is expected in Q4 2026 and the MD&A's milestone table puts a second offtake agreement in 2026. The project-level participation has no date. The company has said details follow the final close.

For Georgia Lake, the MD&A schedules further drilling for Q4 2026 to Q1 2027, a feasibility study in Q2 2027 and permitting in Q1 2028. The September 30 interim statements, due within 60 days of quarter-end, will show the placement proceeds and whether the Guben participation reached the subsequent-events note.

The identity of the investor is the smaller of the two questions the report raised. The terms of the Guben participation, once published, are the document that tells shareholders what share of the permitted plant the company keeps and what the partner pays for the rest.
