StrikePoint Pays Newmont US$70 Million for a Nevada Gold Deposit

Northumberland comes with 2.86 million gold-equivalent ounces in the indicated category, no reserves, and a Frankfurt listing so new that the first large trade on it was cancelled.

StrikePoint Gold closed its purchase of the Northumberland gold project in central Nevada from Newmont on 6 October 2026, paying US$70 million in cash and owing two further payments of US$25 million that only fall due if the project reaches a feasibility study and then production. The deposit holds 2.86 million gold-equivalent ounces in the indicated category and 1.57 million inferred, with no mineral reserves. Market-data screens were still reporting the pre-financing share count on 9 October, which understated the company by a factor of fourteen.

the post-consolidation German line, per Deutsche Börse; a 1,800-share trade at EUR 1.378 on 7 October 2026 was cancelled as a mistrade on 8 October.

The Northumberland ground sits in central Nevada, in the Toquima Range, a few hours of gravel road from anywhere. Newmont Corporation has owned it for more than fifteen years and did almost nothing with it. On 6 October 2026 it stopped owning it.

StrikePoint Gold Inc. (TSXV: SKP) paid Newmont subsidiaries US$70 million in cash to take the project over. The release that announced the closing also commits StrikePoint to two further payments of US$25 million each. Neither is owed now. The first falls due within 120 days of a feasibility study being delivered, the second within 120 days of certain commercial production milestones. A project that never reaches a feasibility study never triggers either one.

Newmont got cash, and a junior found the money to pay it

StrikePoint did not have US$70 million. It raised it.

A subsidiary sold 95,000,000 subscription receipts at C$2.00 each, raising C$190 million gross including the underwriter's option, with Canaccord Genuity acting as sole underwriter. A subscription receipt is a placeholder: buyers pay up front, the money sits in escrow, and the receipts convert into ordinary shares only if the deal closes. If the deal had failed, the cash would have gone back. It did not fail, so on closing the receipts became 95 million shares.

Tembo Capital took 20,300,000 of those receipts, about 19.9 per cent of the company on a non-diluted basis, and separately paid US$10 million for a 0.5 per cent net smelter return royalty over the project. A net smelter return royalty is a standing claim on revenue: whoever holds it takes that share of the value of metal sold, before the mine pays for anything. StrikePoint can buy half of it back, 0.25 per cent, for US$25 million.

The underwriter and certain arm's-length parties also received 7,058,020 warrants at C$2.00, exercisable for 24 months. Those are the only warrants attached to the financing.

The quoted market value was out by a factor of fourteen

Before any of this, StrikePoint consolidated its shares ten into one, effective 2 October 2026. That left about 7,239,241 shares outstanding. Then 95 million more were issued when the receipts converted, taking the count to roughly 102.2 million.

Market-data screens had not caught up. As at the close on 9 October 2026, QuoteMedia data showed StrikePoint's market capitalisation as C$14.12 million against 7.24 million shares outstanding, which is the pre-conversion count. The arithmetic that matters is the other one: 102.2 million shares at the C$1.95 close is about C$199 million of market value.

That gap explains a second oddity. StrikePoint traded 359,344 shares on 9 October against a thirty-day average of 12,767, which looks like twenty-eight times normal volume. The average is an artefact. It covers a period when the stock was halted for the transaction and when the share count was a fourteenth of what it is now. In dollars the day was small: 359,344 shares at a volume-weighted average price of C$1.91 is about C$686,000 of turnover on a company worth roughly C$199 million. The price and volume behind that calculation come from QuoteMedia on a 15-minute delay, and no filing states them.

What 2.86 million ounces does and does not mean

The resource estimate for Northumberland has an effective date of 31 July 2026 and was prepared by Hebert Lopes Oliveira, P.Geo., Principal Resource Geologist at SLR Consulting (Canada) Ltd.

In the indicated category it holds 67,008 thousand tonnes grading 1.26 grams of gold per tonne and 5.38 grams of silver per tonne, which contains 2.71 million ounces of gold, 11.60 million ounces of silver, and 2.86 million gold-equivalent ounces at 1.33 grams per tonne gold-equivalent. In the inferred category it holds 30,967 thousand tonnes at 1.53 grams of gold per tonne, containing 1.52 million gold ounces and 1.57 million gold-equivalent ounces.

Those categories are not interchangeable. Indicated means enough drilling has been done that the size and grade of the rock can be estimated with reasonable confidence. Inferred means the geology is understood well enough to guess, and Canadian rules do not allow inferred material to be used in an economic study for that reason. Gold-equivalent is a conversion, not a metal: the silver is priced and restated in gold ounces so one number can stand for both.

The company has reported no mineral reserves. A reserve is the part of a resource that an engineering study has shown can be mined at a profit under stated assumptions. Northumberland does not have one, and no feasibility study exists, which is the same fact seen from the other side of the two US$25 million payments.

Set the money against the ounces. About C$199 million of market value, less roughly C$90 million of working capital, leaves an enterprise value near C$109 million. Divided by the 2.86 million indicated gold-equivalent ounces, that is about C$38 an ounce in the ground. Counting the inferred ounces as well, 4.43 million in total, it is about C$25. Both figures are honest and they measure different things, and neither says anything about whether the rock can be mined.

The treasury is the strongest fact in the release

StrikePoint said on 8 October that it holds about C$90 million in working capital after paying Newmont and the costs of the deal. Closing was 6 October, so no quarterly statements covering it exist yet and that figure is the company's own.

What it buys is time. Five drill permits are in place, subject to transfer or replacement, and the company expects drilling to start within about a month, aimed at expanding and infilling the resource. Michael G. Allen, President and Chief Executive Officer, said he looks forward to the first exploration work on the project in over fifteen years. A junior that has already paid for its asset and still has that much cash is not facing the financing question most juniors face, and that is a real difference from most of the names it will be compared with.

Alan Pangbourne joined the board as Chairman at closing. Shawn Khunkhun, previously Executive Chairman, is now Executive Director.

The German line is days old, and its first big trade was undone

For anyone holding this in Europe, the identifiers changed with the consolidation. The post-consolidation shares trade in Frankfurt under the symbol NK60, with WKN A42M01 and ISIN CA86332K5098, per Deutsche Börse's own security master. The pre-consolidation line, WKN A40N32 and ISIN CA86332K4000, is the old security and last showed a price of EUR 0.088 in Stuttgart on 1 September 2026.

The new line is thin to the point of being unreliable. On 7 October 2026 at 20:12:43 a trade of 1,800 shares printed on Frankfurt at EUR 1.378 against a reference fair value of EUR 1.03. The exchange reviewed it and, on 8 October at 19:22, granted the mistrade application and cancelled it. Deutsche Börse's page for the security showed no last price and no turnover at all when it was checked on 9 October 2026.

A cancelled trade is not a scandal. It is what happens when a security's German order book is almost empty and a single order crosses against nothing. The practical consequence is narrow and worth knowing: price discovery for this company is happening in Toronto, and a Frankfurt print on a quiet evening may not survive the night.

StrikePoint spent US$70 million and about four weeks turning itself from a C$12 million shell into the owner of a Nevada gold deposit with a modern resource estimate and C$90 million to drill it. None of that is a discovery. The ounces were counted by Newmont's predecessors and by SLR; the drills have not turned at Northumberland since 2010. What the company has bought is the right to find out, and the money to keep asking for about two years.
