Homeland Nickel: A Binding Offtake With Two Conditions

Westwin Elements has agreed to take about 20,000 tonnes of concentrate a year from Red Flat, but only after Homeland produces a current resource estimate and an economic study that Westwin accepts.

Homeland Nickel Inc. (TSXV: SHL) signed a binding offtake agreement with Westwin Elements on 2026-10-01 covering about 20,000 tonnes of nickel concentrate a year from its Red Flat property in Oregon. The agreement is conditional on an updated mineral resource estimate and a preliminary economic assessment the company expects in the first half of 2027. Homeland has no current mineral resource on any of its Oregon ground, and held about C$2.39 million of cash at its most recent reported balance sheet date.

A refinery in Oklahoma has agreed to buy nickel concentrate that nobody has mined yet, from ground in southern Oregon that carries no current mineral resource. The seller is Homeland Nickel Inc. (TSXV: SHL), a Canadian junior on the TSX Venture Exchange, and the agreement it signed is binding and conditional at the same time. The conditions are the interesting part.

The ground underneath it has been measured before, and not recently.

2007 to 2009: the drilling that still supplies the figures

The resource numbers Homeland cites at Red Flat come from work done nearly two decades ago. The company's release of 2026-10-01 puts the historical estimate at 18.8 million tons grading 0.84 per cent nickel, including 10.4 million tons of measured and indicated material at 0.88 per cent nickel, at a cut-off grade of 0.7 per cent. A measured resource of rock at 1.05 per cent nickel over 2.3 million tons sits inside that. Cobalt was assayed during the same programme but was never carried into the historical estimate.

Homeland states plainly that a qualified person has not done enough work to classify the historical estimate as a current mineral resource, and that it is not treating those figures as current resources or reserves. Under Canada's mineral disclosure rules a historical estimate and a current mineral resource are different categories: the first is an old number a company may repeat with a health warning, the second is a number a qualified person stands behind today. Everything Homeland has at Red Flat is in the first category.

7 May 2026: nine projects, one superlative and a permitting queue

In a release dated 2026-05-07 Homeland described itself as holding nine nickel projects in Oregon. It named two of them, Cleopatra and Red Flat, and left the other seven unidentified. The nine-project count is the company's own, and the public record supports two.

The same release gave Cleopatra a historical resource of approximately 40 million tonnes of laterite grading 0.92 per cent nickel, and said that redrilling about 10 per cent of the original work would be required to update the figures to NI 43-101 format before a feasibility study, which it planned for 2027. Laterite is nickel held in weathered soil near surface rather than in hard rock, which makes it cheap to dig and expensive to process.

That release also described the 40 million tonne figure as "the largest undeveloped nickel resource in the continental United States". The characterisation is the company's own, and it rests on a historical estimate that the planned redrilling is designed to bring up to current standards.

The permitting detail in the same release is more concrete. Four Plans of Operation had been filed, a Surface Use Determination was approved for Cleopatra and under review for Red Flat, and the company planned an environmental review with the United States Forest Service in May and early June 2026 to satisfy federal requirements for sonic and auger drilling.

1 October 2026: the offtake, and the two documents it waits on

Homeland announced the Westwin agreement on 2026-10-01. The terms are specific and they are the reason this is a real development rather than a letter of intent dressed up.

An offtake agreement is a commitment by a buyer to take a defined quantity of a producer's output. Westwin Elements would receive an estimated 20,000 tonnes of nickel concentrate a year, mined and concentrated by Homeland at Red Flat, on an exclusive basis for that property, with the option to take material from Homeland's other properties as well. The agreement is binding and does not disturb Westwin's existing feedstock arrangements with other parties.

The conditions are where the timetable lives. Homeland must deliver an updated mineral resource estimate and a preliminary economic assessment, which is the first-pass study that puts capital cost, operating cost and a notional mine plan around a resource. If Westwin is satisfied with that assessment, Westwin funds a bankable feasibility study in full, including permitting, drilling and environmental assessment. President and chief executive Stephen Balch said the resource estimate and the economic assessment are expected in the first or second quarter of 2027, after which Westwin has 90 days to review them and begin the feasibility work.

Read in order, that is a counterparty agreeing to pay for the expensive stage of proof once the cheap stage exists. It is a materially better arrangement than a junior funding a feasibility study from the market, and it is contingent on two documents that have not been written.

Westwin describes itself as scaling America's only Class 1 nickel refinery using carbonyl refining, a process that turns nickel into a gas compound and back into high-purity metal. Class 1 nickel is the purity grade batteries require. Its pilot plant is at Lawton, Oklahoma; the full-scale refinery is described in the release only as future and phased, with no location or date given. Homeland and Patriot Nickel Corp. visited the pilot plant.

Red Flat itself is 84 lode mining claims covering 2,015 acres, 15 kilometres southeast of Gold Beach, Oregon, on federal land administered by the Bureau of Land Management. Forest Service permits are required for heavy machinery and state permits for drilling deeper than 50 feet or disturbing more than an acre.

14 October 2026: what the market is pricing, and what is in the bank

The shares closed at C$0.425 on 2026-10-14, down half a cent or 1.2 per cent, on about 154,568 shares against an average near 212,515, per 15-minute delayed market data read after the close. That values the company at about C$100.01 million on about 235.31 million shares. The 52-week range on the same data runs from C$0.07 to C$0.72, so the shares have already multiplied several times over the past year.

Against that, the same data source puts cash and equivalents at about C$2.39 million and total liabilities at about C$243,810, from Homeland's most recent filed financial statements; these are secondary market data figures and were not checked against the company's own filings on SEDAR+. Two studies, a drill programme to support them, and the permitting work behind both have to be paid for out of that balance or out of money the company has not yet raised. Westwin's commitment to fund the feasibility study in full reduces how much of that later, more expensive work Homeland has to pay for itself.

The German line

Homeland trades in Frankfurt under the symbol QP6, WKN A40A6Y, ISIN CA43740Q1072, per Deutsche Börse's venue page for the security. The company's own releases list only its TSX Venture and United States over-the-counter symbols, so a holder working from the company's disclosure alone would not find the German line in it. The listing is thin: about 7,775 shares changed hands in Frankfurt on 2026-10-13 against 154,568 on the TSX Venture Exchange the following day, which means the Canadian line sets the price and the German one follows it.

What has been established, in one paragraph

Homeland has a signed, binding commitment from a refiner to take 20,000 tonnes of concentrate a year, and a counterparty prepared to pay for a feasibility study if an economic assessment satisfies it. That is a genuine improvement in position. There is no current mineral resource at Red Flat or Cleopatra, no economic study of either, no permit to mine, no production and no revenue. The two documents this agreement turns on are due in the first half of 2027, and they are the next milestones to watch.

Homeland has a buyer lined up before the first tonne is mined, and a partner ready to fund the feasibility work once the economic assessment is in.
